Terms of Service
These Terms govern your access to and use of Spaide AI's services. By using our platform you agree to be bound by them.
Welcome to Spaide AI, LLC ("Spaide," "Company," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of the Spaide website, applications, digital notepad environment, submission pipeline, and all related services (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not access or use the Services.
1. Accessing Our Services
You must be at least 18 years old to use the Services. By accessing or using the Services, you represent and warrant that you meet this requirement. We may change, suspend, or discontinue any aspect of the Services at any time without prior notice or liability.
2. Account Registration
You must register for an account to access certain features. You agree to provide accurate, complete information and keep it updated. You are responsible for all activity under your account and must keep your credentials confidential. Notify us immediately at support@spaideai.com if you suspect unauthorized access. We may terminate or suspend your account at any time for violation of these Terms.
3. Prohibited Uses
You agree not to:
- Submit AI-generated, typed, or synthesized content as handwritten work. All submissions must be genuine handwritten solutions produced by you.
- Submit content that is plagiarized, copied from another person's handwriting, or does not represent your own original work.
- Use automated tools, bots, or scripts to interact with the Services or submit content.
- Submit content containing personal information belonging to another person, or scan work that includes other people's identifying details without consent.
- Attempt to reverse-engineer, circumvent, or exploit any portion of the Services or its verification systems.
- Use the Services in any way that violates applicable law or regulations.
- Attempt to access data or accounts that do not belong to you.
- Harass, threaten, or harm other users or Company personnel.
Violation of these prohibitions may result in immediate account termination and forfeiture of unpaid earnings.
4. Data and Content
4.1 Your Submitted Content
You retain ownership of the original handwritten content you create. By submitting content through the Services, you grant Spaide a non-exclusive, royalty-free, worldwide, irrevocable, perpetual license to use, reproduce, modify, anonymize, aggregate, package, distribute, sublicense, and create derivative works from your Submitted Content for the purpose of building, selling, and licensing AI training datasets, and for any other purpose related to our business.
4.2 License Grant
The license granted in Section 4.1 survives termination of your account and these Terms. You acknowledge that de-identified versions of your Submitted Content may be incorporated into datasets that are sold or licensed to third parties, and that such data cannot be recalled once transferred to a purchaser.
4.3 Representations
You represent and warrant that: (i) you own or have the right to submit all content you provide; (ii) your content does not infringe any third-party intellectual property, privacy, or other rights; and (iii) all submitted handwriting is genuinely your own original, human-created work.
5. Compensation
5.1 Earnings Pool
Contributors whose Submitted Content is incorporated into a sold or licensed dataset are entitled to a share of the earnings from that transaction. Sixty-five percent (65%) of gross revenue received by Spaide from dataset sales or licenses will be distributed to the contributor pool for that dataset, allocated proportionally based on the number of verified pages each contributor provided to the dataset.
5.2 Payment Terms
Earnings will be disbursed within thirty (30) days following receipt of payment from a dataset purchaser or licensee. You are responsible for providing accurate payment information. Spaide is not responsible for delays caused by inaccurate information or third-party payment processors.
5.3 Taxes
You are responsible for all taxes on amounts received through the Services. Spaide will issue a Form 1099-NEC to US contributors who earn $600 or more in a calendar year, as required by law. Spaide reserves the right to withhold taxes as required by applicable law.
5.4 Forfeiture
Accounts terminated for violation of Section 3 (Prohibited Uses) forfeit all unpaid earnings.
6. Intellectual Property
The Services, including all software, design, text, graphics, logos, and other content created by Spaide, are the exclusive property of Spaide AI, LLC and are protected by applicable intellectual property laws. Nothing in these Terms grants you any right in the Services except the limited right to use them as expressly set forth herein.
7. Confidentiality
If you receive access to any non-public information about Spaide's technology, business, data, or operations ("Confidential Information"), you agree to keep it confidential and not disclose it to any third party without our prior written consent. This obligation survives termination of these Terms.
8. Third-Party Services
The Services may integrate with or link to third-party services (such as payment processors or authentication providers). Your use of such services is governed by their own terms and privacy policies. We are not responsible for the practices of third-party services.
9. Disclaimer of Warranties
10. Limitation of Liability
Some jurisdictions do not allow the limitation or exclusion of certain warranties or damages, so some of the above limitations may not apply to you.
11. Indemnification
You agree to indemnify, defend, and hold harmless Spaide AI, LLC and its affiliates, officers, employees, agents, and licensors from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (i) your access to or use of the Services; (ii) your Submitted Content; (iii) your violation of these Terms; or (iv) your violation of any third-party rights.
12. Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Subject to the arbitration agreement in Section 15, any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Delaware, and you consent to personal jurisdiction and venue in such courts.
13. Changes to Terms
We may modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on the Site or by emailing you at the address associated with your account. Continued use of the Services after the effective date of any changes constitutes your acceptance of the updated Terms.
14. Termination
You may stop using the Services at any time. We may suspend or terminate your access at any time for any reason, including if we reasonably believe you have violated these Terms. Upon termination, your right to use the Services ceases immediately. Sections 4, 5.3, 5.4, 6, 7, 9, 10, 11, 12, 15, and 16 survive termination.
15. Arbitration Agreement
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.
Any dispute, claim, or controversy arising out of or relating to these Terms or the Services (a "Dispute") will be resolved by binding individual arbitration, not in court, except as set forth below. The Federal Arbitration Act and federal arbitration law apply to these Terms.
Class Action Waiver. You and Spaide each waive the right to a trial by jury and the right to participate in a class action, collective action, private attorney general action, or other representative proceeding of any kind.
Arbitration Rules. Arbitration will be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, available at adr.org. The arbitrator will have exclusive authority to resolve any Dispute, including issues of arbitrability.
Opt-Out. You may opt out of this arbitration agreement by sending written notice to legal@spaideai.com within thirty (30) days of first accepting these Terms. Your notice must include your name, email address, and a statement that you wish to opt out of the arbitration agreement.
Exceptions. Either party may bring an individual action in small claims court. Either party may also seek emergency injunctive relief in a court of competent jurisdiction to prevent irreparable harm pending arbitration.
16. General Terms
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Spaide regarding the Services. If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary, and the remaining provisions will continue in full force. Our failure to enforce any provision of these Terms is not a waiver of our right to do so later. You may not assign these Terms or your rights hereunder without our written consent. We may freely assign these Terms. Notices to us should be sent to legal@spaideai.com.
17. Feedback
If you provide feedback, ideas, or suggestions about the Services ("Feedback"), you grant Spaide a non-exclusive, royalty-free, worldwide, perpetual license to use, disclose, and exploit such Feedback for any purpose without compensation to you.
18. Publicity
Spaide may reference your participation in the Services (for example, stating the number of contributing students or schools) in marketing materials and press communications in a de-identified, aggregated form. We will not identify you by name or institution without your separate written consent.
19. Mobile Application Terms
If you access the Services through a mobile application, you acknowledge that these Terms apply in addition to any terms required by the applicable app marketplace (such as Apple App Store or Google Play). You represent that you are not located in a country subject to a US government embargo or on any US government list of prohibited or restricted parties. Apple and Google are not responsible for the Services or these Terms.
